Welcome to ModMinds.

ModMinds is a sister company of Den Crofty LLC that creates, licenses, distributes, operates, and supports artificial intelligence-powered software, digital tools, automation systems, interactive applications, creator utilities, and related services designed primarily for streamers, content creators, gaming communities, moderators, and digital brands.

These Terms of Service ("Terms") govern your access to and use of ModMinds websites, applications, AI services, APIs, cloud-hosted platforms, downloadable software, bots, integrations, and related services (collectively, the "Services").

By accessing, purchasing, installing, subscribing to, or using any Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility

To use our Services, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction;
• Possess the legal authority to enter into a binding agreement;
• Provide accurate and complete information when creating an account;
• Comply with all applicable laws and regulations.

If you are using the Services on behalf of a business, organization, esports team, creator brand, or other entity, you represent that you are authorized to bind that entity to these Terms.

ModMinds provides software products and services including but not limited to:

• AI-powered applications;
• Creator tools;
• Streaming utilities;
• Community management systems;
• Content generation tools;
• AI assistants and agents;
• Automation platforms;
• Moderation systems;
• Chat integrations;
• Cloud-hosted Software-as-a-Service (SaaS) products;
• Mobile and desktop applications;
• APIs and developer services;
• Analytics and optimization tools.

Services may evolve over time.

We reserve the right to:

• Add features;
• Remove features;
• Modify functionality;
• Change pricing;
• Suspend certain offerings;
• Discontinue products entirely.

3. Accounts and Security

You are responsible for:

• Maintaining account confidentiality;
• Protecting credentials and API keys;
• Monitoring activity under your account;
• Notifying us immediately of unauthorized access.

You remain responsible for all activity occurring under your account unless caused by our negligence or security failure.

ModMinds may suspend accounts believed to be compromised until security concerns are resolved.

4. Subscription Services

Certain Services operate on a subscription basis.

Subscriptions may be offered:

• Monthly;
• Annually;
• Per-user;
• Per-server;
• Per-community;
• Per-workspace;
• Usage-based;
• Credit-based.

By subscribing, you authorize recurring billing unless canceled prior to the next renewal date.

Unless otherwise required by law:

• Subscription fees are non-refundable;
• Partial billing periods are not prorated;
• Unused credits expire according to the applicable service plan.

Pricing may change at renewal with reasonable notice.

5. Software Licensing

Subject to compliance with these Terms, ModMinds grants you a limited, non-exclusive, non-transferable, revocable license to use the Services.

You may not:

• Reverse engineer the Services;
• Decompile software;
• Circumvent licensing controls;
• Remove copyright notices;
• Create competing products from our software;
• Copy proprietary features;
• Resell software without authorization;
• Redistribute installations or licenses.

All rights not expressly granted remain reserved by ModMinds.

6. Artificial Intelligence Services

Some Services utilize artificial intelligence, machine learning, large language models, generative systems, and automated decision-making technologies.

You acknowledge and agree that:

• AI-generated content may contain mistakes;
• AI outputs may be incomplete;
• AI responses may not always be accurate;
• AI-generated content should be independently reviewed before reliance;
• AI systems may produce unexpected results.

ModMinds does not guarantee:

• Accuracy;
• Reliability;
• Suitability;
• Originality;
• Commercial viability;
• Regulatory compliance of generated content.

You are solely responsible for reviewing and validating AI-generated outputs before publication, monetization, public release, or business use.

7. User Content

You retain ownership of content you submit to the Services, including:

• Text;
• Images;
• Audio;
• Video;
• Prompts;
• Scripts;
• Creator assets;
• Brand materials.

By submitting content, you grant ModMinds a limited license to:

• Store;
• Process;
• Transmit;
• Analyze;
• Display;

You represent and warrant that you possess all rights required to upload and use such content.

8. Acceptable Use Policy

You may not use the Services to:

• Violate laws;
• Infringe intellectual property rights;
• Harass others;
• Promote malware;
• Conduct phishing;
• Distribute spam;
• Interfere with platform operations;
• Evade platform moderation;
• Generate harmful or deceptive content;
• Circumvent account restrictions;
• Abuse system resources;
• Create unauthorized copies of the Services;
• Engage in fraudulent activity.

Prohibited uses may result in immediate suspension or termination.

9. Creator Platform Compliance

Users are responsible for complying with the terms, rules, partner agreements, community guidelines, and policies of platforms including:

• Twitch;
• YouTube;
• TikTok;
• Kick;
• Discord;
• X (Twitter);
• Facebook;
• Instagram;
• Microsoft;
• Google;
• Amazon; and
• Other third-party services.

ModMinds is not responsible for enforcement actions taken by third-party platforms.

10. API Usage

Users granted API access agree:

To comply with rate limits;

Not to overload infrastructure;

Not to scrape protected systems;

Not to repackage our APIs as competing services;

Not to share access credentials.

We reserve the right to throttle, suspend, or revoke API access at any time.

11. Intellectual Property Rights

All software, systems, branding, code, documentation, designs, applications, trademarks, logos, and proprietary content developed by ModMinds remain exclusive property of ModMinds or its licensors.

No ownership rights are transferred through use of the Services.

The ModMinds name, branding, logos, marks, software architecture, workflows, and proprietary technologies remain protected under applicable intellectual property laws.

12. AI Training and Data Usage

Unless explicitly disclosed for a specific Service:

• Customer data is not sold;
• Private creator content is not licensed to third parties;
• Customer prompts are not publicly disclosed.

Where AI model improvement occurs, data may be processed in anonymized or aggregated form to improve service quality, security, reliability, and performance.

Additional data usage practices are governed by our Privacy Policy.

13. Service Availability

While we strive for high availability, we do not guarantee uninterrupted operation.

Services may experience:

• Maintenance periods;
• Infrastructure failures;
• Network interruptions;
• Third-party outages;
• Security incidents;
• Force majeure events.

Downtime does not automatically entitle users to refunds unless specifically stated in a Service Level Agreement (SLA).

14. Third-Party Services

Our Services may integrate with or depend upon:

• Microsoft Azure;
• OpenAI technologies;
• Discord;
• Twitch;
• YouTube;
• Stripe;
• PayPal; and
• Other providers.

ModMinds does not control these third-party services and is not responsible for their actions, availability, policies, or performance.

Your use of those services is governed by their own terms and policies.

15. Payments and Refunds

Fees are due according to the selected plan.

Unless required by law:

• Digital purchases are final;
• Subscription fees are non-refundable;
• Custom development work is non-refundable after work has commenced;
• Setup fees are non-refundable;
• Chargeback abuse may result in account termination.

Refund requests are reviewed on a case-by-case basis.

16. Termination

ModMinds may suspend or terminate access immediately if you:

• Violate these Terms;
• Abuse the Services;
• Violate applicable law;
• Create legal or security risks;
• Engage in fraudulent activity.

Upon termination:

• Access rights immediately cease;
• Licenses are revoked;
• Outstanding invoices remain due;
• Certain retained data may be deleted according to our retention policies.

17. Disclaimer of Warranties

The Services are provided "as is" and "as available."

To the maximum extent permitted by law, ModMinds disclaims all warranties, including:

• Merchantability;
• Fitness for a particular purpose;
• Non-infringement;
• Availability;
• Accuracy;
• Performance; and
• Reliability.

We do not guarantee:

• Stream growth;
• Follower increases;
• Revenue improvements;
• Viral success;
• Monetization outcomes;
• Platform approvals; or
• AI accuracy.
• Limitation of Liability

To the maximum extent permitted by law, ModMinds shall not be liable for:

• Indirect damages;
• Incidental damages;
• Special damages;
• Consequential damages;
• Lost profits;
• Lost content;
• Lost revenue; or
• Lost business opportunities.

Our total liability shall not exceed the greater of:

The amount paid to ModMinds during the preceding twelve (12) months; or

One hundred U.S. dollars ($100).

18. Indemnification

You agree to defend, indemnify, and hold harmless ModMinds, Den Crofty LLC, their owners, employees, contractors, affiliates, licensors, and partners from claims arising out of:

• Your content;
• Your platform activity;
• Your misuse of the Services;
• Intellectual property disputes;
• Violations of law;
• Violations of these Terms.
• Export Compliance

You agree to comply with all applicable United States export control and sanctions laws.

You may not use the Services in jurisdictions where such use is prohibited.

19. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania without regard to conflict-of-law principles.

20. Dispute Resolution

Before filing legal action, both parties agree to attempt good-faith resolution through written notice and informal negotiation.

Any unresolved dispute shall be brought exclusively in the state or federal courts located within Pennsylvania.

Both parties consent to the jurisdiction of those courts.

21. Changes to Terms

We may modify these Terms periodically.

Material changes may be communicated through:

1. Email;
2. Website notices;
3. Application notifications;
4. Customer dashboards.

Continued use of the Services following updates constitutes acceptance of the revised Terms.
